These Terms and Conditions (“Terms”) cover Locafy Limited (ACN 136 737 767), its affiliated businesses and subsidiaries (collectively, “Locafy”, “we”, “us” or “our”). Locafy owns and operates Scoop.com.au (“Scoop”), an Australian lifestyle directory covering restaurants, places to visit, things to do, local experiences and related content, together with any other websites, apps or online services that we own or control (collectively, the “Services”).

Before you begin to use the Services, please read these Terms carefully. If you do not understand or do not agree with these Terms, please navigate away from Scoop.com.au and do not use the Services.

By accessing or using Scoop.com.au, you acknowledge and agree that these Terms constitute the rules and conditions of access to, use of, and supply of information from this website. We may amend these Terms from time to time by publishing an updated version on this website. Amendments take effect immediately once published and apply to your next use of the Services. You are responsible for regularly reviewing this website and these Terms; your continued use of the Services after any changes are made will be treated as your acceptance of those changes.

If you object to any of the terms in these Terms or Locafy’s other policies (including the Privacy Policy and Review Policy), or any subsequent changes to them, or you become dissatisfied with your use of the Services in any way, your only remedy is to immediately stop using the Services.

This website may contain hyperlinks or other redirection tools to other websites operated by third parties (“Outside Sites”), including websites of businesses listed on Scoop. Outside Sites are not controlled by us and do not form part of this website. You agree that we are not liable or in any way accountable for anything that occurs on Outside Sites.

1. Website access and availability

We reserve the right to modify, discontinue or disable all or part of the Services, on either a permanent or temporary basis, at any time. We may suspend, terminate or limit your access to all or part of the Services at any time if you breach these Terms.

You must take your own precautions to ensure that the process you use to access this website does not expose you to viruses, malicious computer code or other forms of interference which may damage your own computer system. Locafy does not accept responsibility for any interference or damage to your computer system arising in connection with your use of this website or any linked website.

2. Website use

Businesses, business owners and their employees, contractors, agents or representatives, including digital agencies and marketing consultants (collectively “Advertisers”), may make available for publication on Scoop certain information or material, including but not limited to text, photographs, videos, data, graphics, images, logos, menus, opening hours, links, map data, listing details or any other content (collectively “Content”). Consumers may also submit Content in the form of reviews, ratings, comments and photographs, as described further below.

2.1 No unlawful, infringing or offensive activity

You must not post or transmit to or via Scoop.com.au (including any listings, review functions, search features, forms or other products or services we offer from time to time) any Content that breaches any laws or regulations, infringes a third party’s rights or privacy, or is offensive or contrary to relevant standards or codes, including generally accepted community standards. You must not permit or enable another person to do any of those things.

You must not transmit any advertising, promotional material or similar material through Scoop without our express written permission.

Examples of unlawful, infringing or offensive Content include material that:

  • is false or misleading, abusive, harassing, defamatory, offensive, humiliating, vulgar, obscene, pornographic, racist, discriminatory or invasive of another’s privacy;
  • infringes the intellectual property rights of another party;
  • is not owned by you or that you do not have the right to submit;
  • may encourage criminal activity;
  • contravenes any applicable laws, regulations, codes or standards;
  • disturbs or damages this website, the Services or its Content;
  • damages us, our brand Scoop, or our reputation; or
  • otherwise breaches these Terms.

We may withdraw, remove or alter any Content you provide for display on Scoop at our absolute discretion, including if we reasonably consider it inappropriate, offensive, misleading or deceptive, defamatory, incorrect, or otherwise in breach of these Terms, our Review Policy or any law or third party rights, or if we are instructed to do so by a third party.

2.2 No viruses or other interference

You must not transmit to or via the Services any virus or other harmful material, or otherwise use the Services in a way which tampers with, hinders the operation of, or makes unauthorised modifications to the Services, inhibits any other user from using the Services, or violates the security of the Services or accesses any unauthorised area of the Services.

2.3 Fair use by Advertisers

An Advertiser:

  • may only submit Content relating to the Advertiser’s own business or venue;
  • may not advertise or create a listing under a business name that is not owned or authorised by the Advertiser;
  • seeking to publish or manage more than a small number of listings (such as a franchise group, hospitality group or agency managing multiple clients) should contact us to arrange bulk access rather than submitting listings individually.

2.4 Reviews and user-generated content

Scoop allows registered users to submit reviews, ratings, comments and photographs about restaurants, venues, activities and other listings. Reviews must reflect a genuine experience with the business or venue being reviewed, must not be submitted by or on behalf of the business being reviewed or a competitor of that business, and must otherwise comply with our Review Policy. We may moderate, decline to publish, or remove reviews or other Content that we reasonably believe are fake, incentivised in a way we do not permit, defamatory, or otherwise in breach of these Terms or our Review Policy. We do not guarantee that we will publish, retain, or continue to display any review or other Content.

2.5 Fair use by all users

All Content made available on or via the Services is provided for informational purposes only. Content may only be used and reproduced for personal, non-commercial use. Unacceptable uses include: (a) framing Content; (b) scraping Content; (c) data-mining Content; (d) systematically extracting Content; (e) re-distributing Content; (f) mirroring material from the Services; or (g) using this website in any way that interferes with its operation for other users.

2.6 Commercial electronic messages (email, SMS and phone)

Where you submit your details as a consumer or a business, including through account signup, a review submission, or a business listing inquiry, you may be asked to verify your details (for example, by confirming your email address). Once verified, and where you have not opted out, you agree that Locafy may send you commercial electronic messages (“CEMs”) relating to Scoop and its Services by email, SMS or phone, in accordance with the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth). You may opt out of CEMs at any time using the unsubscribe facility provided in each communication or by contacting us using the details in section 11.

3. Disclaimer

By using this website you agree to the following:

  • Scoop is a directory and discovery platform. We are not a party to, and are not involved in, any transaction, booking, purchase or arrangement between you and a business, venue or Advertiser listed on Scoop.
  • We have no control over, and do not guarantee, the truth, accuracy, quality, safety or legality of listings, reviews, offers or services referenced on Scoop, or the ability of any Advertiser to provide the services or experiences described.
  • We cannot and do not confirm the purported identity of any Advertiser, reviewer or other user.
  • If you have a dispute with a business, venue or another user of Scoop, you release us (and our directors, agents, contractors, affiliates, parent, subsidiaries and employees) from claims, demands and damages of every kind arising directly or indirectly out of that dispute.
  • You are responsible for any dealings or transactions you enter into with a business or venue found through Scoop, including complying with any relevant legal or other obligations. We do not endorse, approve or take responsibility for the services provided by any Advertiser, nor do we validate their financial standing.
  • Search results, rankings and recommendations shown on Scoop are based on a number of factors which may change from time to time. We make no warranty as to the order in which listings or reviews appear, if at all.
  • We do not warrant the accuracy, adequacy or completeness of any information contained on this website, or that such information is error-free.

4. Exclusion of Warranty and Liability

To the fullest extent permitted by law, in relation to your access to and use of this website and the Services, any condition or warranty that would otherwise be implied by law into these Terms is excluded.

Under no circumstances will Locafy, its employees or agents be liable to you in contract, tort, equity, statute, regulation or otherwise for any loss, damage, costs, legal costs, or other expenses of any nature, whether direct or consequential (including without limitation any economic loss or loss of turnover, profits, business or goodwill), arising out of any dispute or claim relating in any way to your access to and use of Scoop.com.au, the Services, or any failure by Locafy to comply with its obligations under these Terms.

5. Limitation of Liability

If any limitation or provision in these Terms is held invalid or unenforceable for any reason, and Locafy becomes liable for loss or damage that would otherwise have been excluded, Locafy’s maximum liability in contract, tort, equity, statute, regulation or otherwise for any loss, damage or injury directly or indirectly arising out of your access to and use of Scoop.com.au is limited to AUD $100.

6. Intellectual property

6.1 Licence to use your information

So that we are not violating any rights you hold in the Content you supply, you grant us a non-exclusive, worldwide, irrevocable, perpetual, transferable, royalty-free right to use, reproduce, modify, adapt, publish and communicate to the public your Content (including reviews, photographs and listing details) for the reasonable purposes of operating and promoting Scoop and our business, together with the right to sublicense those rights to others. We also reserve the right not to use Content that you submit.

You warrant that you have all rights necessary, including copyright, in the Content you contribute, that it is not defamatory, and that it does not breach any law. You indemnify us against any legal fees, damages and other expenses we may incur as a result of a breach of this warranty.

6.2 Attribution

You must not obscure, remove, mask or replace any attribution statement, copyright notice or logo embedded in Content provided by you or displayed on Scoop.

6.3 Locafy intellectual property

All intellectual property rights in the Services and the Content and material on Scoop.com.au (including software, design, text, graphics, and the selection and layout of the website) are owned by or licensed to Locafy and are protected by copyright under the laws of Australia and other countries. You may not distribute, reproduce, frame, transmit, communicate, adapt, sell, publish, alter, modify or create derivative works from any part of the Services or Content on Scoop except as permitted by statute or with our written consent.

7. Warranty

You accept sole responsibility for the legality of your own actions in using the Services under the laws that apply to you. You agree that Locafy is not responsible for the legality of the actions of other users of the Services.

8. Indemnity

You indemnify and release us (and our directors, agents, contractors, affiliates, parent, subsidiaries and employees) from and against any claims, demands, proceedings, losses and damages of every kind, in contract, tort, equity, statute, regulation or otherwise, including without limitation economic loss, loss of turnover, profits, business or goodwill and reasonable legal fees, made by you or any third party arising directly or indirectly out of your breach of these Terms, any licence granted to you by Locafy, or your violation of any law or the rights of a third party.

9. No agency

You and Locafy are independent parties. No agency, partnership, joint venture, employment or franchise relationship is created or intended by these Terms or by your use of the Services.

10. Governing law

These Terms are governed by the laws of Western Australia. You and Locafy submit to the non-exclusive jurisdiction of the courts of Western Australia and waive any claim or objection based on absence of jurisdiction or inconvenient forum.
